Terms
Last updated 29 October 2026
These terms describe how Orbach Studio, the trade name of The Chat Widget LLC, 30 N Gould St Ste N, Sheridan, WY 82801, USA, works with clients. Every engagement also gets a written quote or a short service agreement; where that document says something different, it wins. Plain language here, the signed document for the detail.
Scope and quotes
- Work starts from a written quote that says what will be delivered, by when, and for how much. Anything not in the quote is a change, and changes are quoted before they are done.
- Fixed-price jobs are paid half up front and half on delivery. The deposit is refundable until work starts.
- Larger builds are billed in milestones set out in the quote.
WordPress care plans
- Plans are month to month, billed in advance, and can be cancelled with a month's notice. There is no minimum term.
- A plan covers updates with a backup taken first, uptime and security monitoring, a monthly report, and the fix time stated in your quote. Fix time does not roll over. New features, redesigns and recovery from problems that predate the plan are quoted separately.
- Third-party costs, such as hosting, domains, premium plugins and paid services, are yours and are billed to you directly by those providers wherever possible.
- If you cancel, the current month runs to its end and nothing more is charged. You receive your latest backup and I hand back every access I was given.
Payment
- Clients outside Israel are invoiced in US dollars through Stripe, payable by card or bank transfer. Statements show ORBACH STUDIO.
- Clients in Israel are invoiced in shekels, plus VAT, with a tax invoice; the details are in your quote.
- Invoices are due on receipt unless the quote says otherwise. Work on an overdue account may pause until it is settled.
Ownership
- Custom code, designs and content I produce for you are yours once they are paid for. They ship to your repositories, your hosting and your accounts.
- My own products, GhostChat and Gmailytics, and my WordPress.org plugins stay mine. If a project uses one, you use it under that product's own terms.
- Open-source and third-party components keep their own licences.
Your side
- You provide the access, content and decisions the work needs, in reasonable time, and you have the right to use the material you give me.
- You keep your own logins secure and tell me when someone who had access leaves.
Responsibility and its limits
- I do the work with reasonable skill and care, and I take a backup before anything that could break.
- Websites run on hosting, plugins and services I do not control. I cannot promise that a site will never go down or never be attacked, only that I will respond as agreed when it does.
- My total liability for any engagement is limited to the fees you paid me in the three months before the claim. I am not liable for indirect losses such as lost profit or lost data that was not in a backup I was responsible for.
Ending the work
Either of us can end an engagement in writing. You pay for work done up to that point, and you get everything that has been paid for, plus your latest backup.
Law
These terms are governed by the law of the State of Wyoming, USA, unless your service agreement says otherwise.
